Acceptance of Terms
By accessing or using the Prime Innovators website and platform (collectively, the "Ecosystem"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Ecosystem.
We reserve the right to modify these Terms at any time. Your continued use of the Ecosystem after any such changes constitutes your acceptance of the new Terms.
Account Registration
To access certain features of the Ecosystem, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
We may suspend or terminate your account if we believe you have violated these Terms or if your conduct is harmful to the Ecosystem.
Acceptable Use
You agree to use the Ecosystem only for lawful purposes and in accordance with these Terms. You agree not to use the Ecosystem:
- In any way that violates any applicable local, national, or international law or regulation.
- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent.
- To impersonate or attempt to impersonate us, a us employee, another user, or any other person or entity.
- To engage in any behavior that is harassing, harmful, or disruptive to the Ecosystem or its users.
- To interfere with or disrupt the Ecosystem or servers or networks connected to the Ecosystem.
- To attempt to gain unauthorized access to the Ecosystem, other user accounts, computer systems, or networks connected to the Ecosystem.
- To use the Ecosystem in any manner that could disable, overburden, damage, or impair the Ecosystem.
User Content
When you contribute content to the Ecosystem (such as project descriptions, comments, or code), you retain all rights to your content. However, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content solely for the purpose of operating and promoting the Prime Innovators Ecosystem.
You represent and warrant that you own or control all rights to your content and that your content does not violate these Terms or any applicable law.
Sponsorships and Stipends
Prime Innovators may facilitate sponsorships and stipends for verified contributions. All such transactions are governed by the terms of the payment processors we use (JazzCash, Easypaisa, Stripe). We are not liable for any delays, failures, or issues in payment processing.
We reserve the right to adjust, suspend, or terminate sponsorship programs at our discretion.
Recruiter Access
Recruiters and sponsors may access verified contributor profiles for the purpose of identifying talent. Such access is read-only and does not include direct messaging capabilities through our platform. We do not share private contact information without explicit user consent.
Proprietary Rights
The Ecosystem and its original content, features, and functionality are owned by Prime Innovators and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Disclaimer
THE ECOSYSTEM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PRIME INNOVATORS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
PRIME INNOVATORS MAKES NO WARRANTY THAT THE ECOSYSTEM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; NOR DOES PRIME INNOVATORS MAKE ANY WARRANTY REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE ECOSYSTEM.
Limitation of Liability
IN NO EVENT SHALL PRIME INNOVATORS, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF PRIME INNOVATORS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF PRIME INNOVATORS FOR ANY AND ALL DAMAGES SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE ECOSYSTEM.
Indemnification
You agree to defend, indemnify, and hold harmless Prime Innovators and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Ecosystem or your violation of these Terms.
Termination
We may terminate or suspend your account and access to the Ecosystem immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Ecosystem will cease immediately. If you wish to terminate your account, you may simply discontinue using the Ecosystem.
Governing Law
These Terms shall be governed and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in [City, Pakistan if specified, otherwise omit].
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new Terms taking effect. What constitutes a material change will be determined at our sole discretion.
